GENEO Capital Entrepreneur and SIPAREX Mezzanine support Egis in its external growth and impact plan through the issue of Relance Bonds

PRESS RELEASE

Paris, December 5, 2023.

GENEO Capital Entrepreneur and SIPAREX Mezzanine support Egis in its external growth and impact plan through the issue of Relance Bonds

Founded in France almost 100 years ago, Egis is an international group operating in the fields of consulting, construction engineering, mobility and sustainability. The €50 million issue of Relance Bonds, half of which will be split between GENEO Capital Entrepreneur (Turenne / GENEO consortium) and SIPAREX, the lead management company of the Territoires de Croissance consortium, is intended to finance the company's development, particularly in terms of impact and external growth, notably in North America, Europe and Oceania.

With sales of almost 1.5 billion euros in 2022, the Egis group has 18,000 employees in over 100 countries. An engineering group specializing in the sectors of mobility, urban and sustainable living, energy and the environment, Egis designs sustainable and innovative solutions to meet the challenges of the climate emergency, integrating eco-design methods into a growing proportion of its projects.

Within this framework, the Relance Bonds subscribed by the Egis group will be enhanced according to the achievement of CSR criteria specifically related to eco-design indicators, with the aim of achieving a share of 85% of its sales on eco-designed projects.

To achieve this goal, Egis has set up action plans based on the definition and consideration of 7 sustainable development objectives: the fight against global warming (ODD 13), adaptation to climate change (ODD 13), biodiversity (ODD 14 and 15), the fight against land artificialisation (ODD 14 and 15), the fight against pollution (ODD 6), the transition to a circular economy (ODD 11 and 12), and the responsible use and protection of marine resources (ODD 6 and 13).

The introduction of this bonus indicator is perfectly in line with the raison d'être of GENEO Capital Entrepreneur, a company with a mission, as well as with the environmental objectives of the Siparex Group, both of which systematically implement decarbonization plans with their holdings.

Olivier Gouirand, Group Finance and Strategy Director at Egis, comments: "After setting up a Sustainability Linked Loan last July as part of the acquisition of our North American platform, we are delighted to diversify our sources of financing today with the issue of this Relance Bond indexed to our eco-design criteria. The environmental concerns of GENEO Capital Entrepreneur and SIPAREX Mezzanine are directly in line with Egis' raison d'être. I'm delighted to be able to count on the support of two French management companies that are particularly committed to these issues: in an engineering sector undergoing rapid change, this is further recognition of our lead in applying ESG criteria to our business activities."

"We are particularly pleased and proud to support the development of the Egis group with this issue of Relance Bonds," says Mathilde Paoli, Associate Director of GENEO Capital Entrepreneur. Reinforcing the remarkable eco-design action plan is perfectly in line with GENEO's impact objectives, which include systematic decarbonization action plans and support for eco-design programs for many of its portfolio companies. Sustainability issues are at the heart of our values and investment strategy. That's why GENEO Capital Entrepreneur has set up an HR and services platform that provides expertise as well as organizational and human support to guide, accelerate and provide concrete support for the actions taken by invested companies."

According to Richard Dalaud, Partner Siparex Mezzanine: "We're delighted to be supporting Egis, one of the jewels of French excellence in the fields of transport engineering and industry. These two sectors, traditionally very well known to SIPAREX, are facing major challenges in terms of energy transition. The impact of these challenges on cash flow and company value is at the heart of SIPAREX Mezzanine's proprietary approach, from measuring credit quality to structuring and pricing. Through this financing, we are delighted to contribute to the ongoing transformation of the business model of one of the world leaders in green engineering, and to its positive impact on the city and mobility of tomorrow."

About Relance Bonds

The Obligations Relance France fund is one of the components of the French Ministry of the Economy, Finance and Recovery's Recovery Plan, created after the health crisis by insurers and Caisse des Dépôts, in cooperation with the French Treasury. It benefits from a partial government guarantee. Initially endowed with 1.7 billion euros by 19 insurers, members of France Assureurs, Caisse des Dépôts and the fund's managers, it finances SMEs investing in their development and transformation. Following the successful deployment of the first tranche, some of the investors have decided to deploy a second tranche of 1.1 billion euros. Relance Bonds have a term of eight years, are redeemable at maturity, and provide unsecured subordinated financing for SMEs, which can be obtained from the management companies delegated to manage the fund.
